Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and TALOS Fleet Technologies, LLC ("TALOS," "we," "us," or "our") governing your access to and use of the TALOS Fleet™ mobile application, website, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use the Service.

2. Description of Service

TALOS provides an NFC-based asset documentation and verification service for trade contractors. The Service includes:

• TALOS DOTs (NTAG424 DNA) for asset identification
• Mobile-accessible interface for scanning and logging custody events
• Asset notes and service documentation (tech-to-tech notes attached to equipment)
• Cloud-based custody chain storage and management
• Report generation for accountability documentation
• Multi-user access for team management
• Service summary reports (when enabled)

2.1 TALOS Is a Data Platform, Not a Guarantor

TALOS is a data conduit. The Service stores and displays information entered by your authorized users (technicians, managers, and other personnel). TALOS does not independently verify, validate, or guarantee the accuracy, completeness, or correctness of any data entered into the system.

All readings, measurements, service notes, diagnostic findings, and other information recorded through the Service reflect the input of your personnel — not the judgment, verification, or endorsement of TALOS Fleet Technologies LLC.

You are solely responsible for:

• The accuracy of data entered by your personnel
• Training your personnel on proper documentation practices
• Verifying that readings, measurements, and service notes are accurate before relying on them for any purpose
• Any decisions made based on data stored in the TALOS platform

3. Subscription and Payment

3.1 Pricing

The Service is offered on a subscription basis with the following components:

• Starter plan: $25/month (up to 15 TALOS DOTs)
• Professional plan: $50/month (up to 40 TALOS DOTs)
• Fleet plan: $75/month (up to 100 TALOS DOTs)
• Enterprise plan: Custom pricing (100+ DOTs)
• TALOS DOTs: $15 per DOT
• Setup fee: $50 one-time

3.2 Billing

Subscriptions are billed monthly in advance. You authorize us to charge your designated payment method for all applicable fees. Failure to pay may result in suspension or termination of your account.

3.3 Refunds

Setup fees are non-refundable once hardware has been shipped. Monthly subscription fees are non-refundable for partial months. You may cancel your subscription at any time, and service will continue until the end of your current billing period.

4. User Responsibilities

As a user of the Service, you agree to:

• Proper Tag Installation: Install NFC tags securely on tools and assets according to provided instructions
• Accurate Scanning: Ensure tags are scanned accurately when transferring custody of tools
• Account Security: Maintain the confidentiality of your account credentials and notify us immediately of unauthorized access
• Accurate Information: Provide accurate and complete information when registering tools and assets
• Lawful Use: Use the Service only for lawful purposes and in compliance with applicable laws
• Team Training: Ensure all team members who use the Service understand proper scanning procedures

5. Acceptable Use Policy

You agree NOT to:

• Use the Service to track individuals without their knowledge or consent
• Attempt to clone, counterfeit, or tamper with NFC tags
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to facilitate illegal activity
• Interfere with or disrupt the Service or servers
• Share account credentials with unauthorized parties
• Misrepresent custody chain data or create false records

6. Intellectual Property

The Service, including all software, designs, text, graphics, and other content, is owned by TALOS Fleet Technologies, LLC and protected by intellectual property laws.

• TRUTH ENGINE™
• FIDE SED VIDE™

7. Data Ownership

You retain ownership of all data you input into the Service, including tool information and custody records. You grant TALOS a limited license to use, store, and process your data solely for the purpose of providing the Service.

Upon termination of your account, you may request export of your data for up to 30 days. After 30 days, your data may be permanently deleted.

7.1 Service Reports and Customer-Facing Documents

If you use TALOS features that generate service reports or documentation intended for your customers, you are responsible for reviewing all generated documents for accuracy before distribution. TALOS auto-generates reports based on data entered by your personnel. TALOS does not review, edit, or verify the content of generated reports.

Any service report generated by TALOS is your document, bearing your company name and brand. TALOS Fleet Technologies LLC assumes no liability for the content of documents generated from your data.

7.2 Employee Notification

If your use of the Service involves recording GPS-timestamped data associated with your employees' activities, you are responsible for notifying your employees that their interactions with TALOS DOTs are recorded, including location data. TALOS Fleet Technologies LLC does not notify your employees on your behalf. It is your responsibility to comply with all applicable laws regarding employee monitoring and location tracking.

8. Limitations of Service

The Service relies on proper user compliance. Custody chain integrity depends on users accurately scanning tags when tools change hands. TALOS cannot verify that a scan accurately reflects physical custody.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted or error-free
• Defects will be corrected
• The Service will meet your specific requirements
• NFC tags will function in all environments or conditions

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TALOS FLEET TECHNOLOGIES, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss or theft of tools or equipment
• Loss of data or business interruption
• Damages arising from reliance on custody chain data
• Damages arising from Service unavailability

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless TALOS Fleet Technologies, LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of a third party
• Claims by your employees or team members related to the Service

12. Termination

Either party may terminate this agreement at any time. You may cancel your subscription through your account settings or by contacting support.

We may terminate or suspend your access immediately, without prior notice, for:

• Violation of these Terms
• Non-payment of fees
• Fraudulent or illegal activity
• Any reason with 30 days written notice

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in San Antonio, Texas, in accordance with the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration.

14. Service Area

TALOS Fleet Technologies services are currently available in the continental United States excluding California. We do not accept customers, process applications, or provide services in the state of California.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

17. Data Anonymization and Retention

Upon termination of a TALOS Technologies subscription, Customer data including asset records, verification logs, crew assignments, and service notes will be retained for 90 days in recoverable form. After 90 days, personally identifiable information including company name, contact details, crew member names, and equipment serial numbers will be permanently deleted or irreversibly anonymized.

Anonymized, aggregated data — including verification frequency, tool category distributions, and service interval patterns — may be retained by TALOS Technologies indefinitely for product improvement, benchmarking, and market research purposes. No anonymized data will be attributed to any individual company or person.

Customer retains the right to request immediate deletion of all personally identifiable data at any time by submitting a written request to jason_keith@talosfleettechnologies.com. TALOS will complete deletion within 30 days of a verified request.
